The Senior Commercial Manager will be reporting to the Commercial Director. As a member of the Commercial Management Team, he/she will provide contracts and commercial management support to assist the businesses and project teams to (a) adhere to and comply with the contract, (b) manage contractual risk exposure on assigned projects, (c) maintain/strengthen the Company's relationships with its clients, partners and (d) protect the Company's revenue and margins.

 

Responsibilities

 

Contract and Commercial Management:

  • Provide contracts and commercial management support to large, complex and high-risk projects and opportunities during pre- and post-sales stage including projects and opportunities where the total contract value exceeds SGD 10 million.
  • Evaluate and implement contracts and commercial management tools to improve efficiency in the contracting, commercial and project management processes which may cover areas including Contract Awareness, Risk Management, Change Control, Deliverables Management, Issues Management, Disputes Management, Subcontract Management, Intellectual Property Management, Contract Communications Management and Contract Documentation Management.
  • Draft, review and negotiate key project documents, eg. statements of work, change orders/ variation agreements, etc.

 

Risk Management:

  • Identify contractual risks/ issues/potential disputes proactively on projects and propose effective and innovative/value added solutions to the project, sales and management teams to mitigate such risks/issues.

 

Stakeholder Management:

  • Support the project, sales and management teams in key meetings with clients and subcontractors over main issues relating to contractual matters.
  • Strategize with company executives prior to client negotiations and support the project, sales and management teams in negotiations with the client representing the Company’s interests.
  • Act as an escalation point for issues/ challenges faced by project managers on projects.

 

Financial Monitoring and Reporting:

  • Assist the project teams to track that the project is on budget, payment terms are adhered to, and margins are not eroded and take the initiative to address such issues.
  • Monitor and report on major contract fulfilment on a monthly basis and other necessary reporting tools.

 

Knowledge Management:

  • Stay abreast of relevant developments affecting the Company, its clients, and industries and synthesize the information to incorporate it into Company’s practices.
  • Create policies, templates, guidelines, packaged knowledge, toolkits, processes and procedures as necessary to enable the Commercial Management Team with appropriate knowledge and tools to support projects.
  • To be the subject matter expert on practice areas.
  • Counsel, advise, and consult senior company executives on risk management issues based on accurate analysis of contract documents or opportunity scope review.
  • Conduct training to align the project and sales teams on contracts and commercial management practices and processes as well as risk management.

 

Team Collaboration:

  • Enhance the working relationship between the Commercial Management Team and the project, sales and management teams.
  • Support, promote, or implement the Commercial Management Team’s or Company’s initiatives (jointly with other departments).

 

 

The Ideal Candidate Should Possess

  • Bachelor’s Degree in Law or a related field
  • Minimum 10 years post-qualifying experience in a law firm or in a fast-paced corporate legal group or contracts management experience in other relevant industries
  • Possess good knowledge of relevant laws.
  • Possess good knowledge of project management, in particular, project and contracts management for complex IT projects or opportunities
  • Demonstrate business /commercial acumen and the ability to drive successful outcomes.
